Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Generato service (the "Service"), operated by Eutin Warren Pvt. Ltd., a private limited company incorporated in India ("Eutin Warren", "we", "us"). By installing the Generato Figma plugin, using the Web App at studio.generato.app, or purchasing a paid plan, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Generato lets you generate batches of Figma frames from structured data, with AI-assisted bindings and design tools. The Service is provided as-is from time to time and consists of a free tier and paid tiers (Pro, Team). Feature availability per tier is described at generato.app/pricing and may evolve.

2. Accounts

The free tier requires no account. Paid tiers are tied to your email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under them. Notify us immediately at [email protected] of any unauthorised use.

3. Subscriptions and payment

• Paid plans are billed monthly in advance via Stripe, Inc. Prices are in USD and exclude applicable taxes (including Indian GST, where applicable), which are added at checkout where required.
• Subscriptions renew automatically until cancelled. You may cancel at any time from the Plugin's AI tab → Manage billing, which opens Stripe's self-service portal.
• Cancellation takes effect at the end of your current billing period; you retain access to paid features until that date. We do not issue refunds for unused time except where required by law.
• Failed payments may result in feature downgrade to the free tier. We will attempt to retry in line with Stripe's smart retry schedule before downgrading.
• We may change prices with at least 30 days' notice; new prices take effect at your next renewal.

4. Konan & Spade lease carve-out

Active clients of Konan & Spade Consulting Limited's ("K&S") Legal Marketing Agency practice receive Team-tier features free of charge, under a lease agreement between Eutin Warren and K&S. Eligibility is determined by K&S. Eutin Warren may revoke free access if the underlying lease is terminated, with 30 days' notice.

5. Acceptable use

You will not:

• Use the Service to generate, distribute, or store content that is illegal, infringing, defamatory, harmful to minors, or in violation of any third party's rights.
• Reverse-engineer, decompile, or attempt to extract the source of the Service beyond what Figma's plugin runtime exposes.
• Use the Service to build a competing data-to-Figma batch-generation product.
• Circumvent any feature gate, quota, or access control.
• Use the Service in a way that degrades it for others (e.g. exceeding documented rate limits, flooding our webhook).

Violations may result in suspension or termination without refund.

6. Your content and third-party data

You retain all rights to your Figma files, data sources, and AI provider outputs. We do not claim ownership of any of it. You are responsible for ensuring you have rights to any data you load into the Service (e.g. spreadsheet content, image URLs) and for complying with the terms of any third-party services you use through the Service (Google Sheets, your AI provider, etc.).

7. AI-generated outputs

AI features call the provider you choose with your own API key (BYOK) or, on Pro/Team tiers, a hosted allowance Eutin Warren provides. Outputs are generated by third-party models over which we have no control and which may contain inaccuracies or unintended content. You are responsible for reviewing AI outputs before using them. We make no warranty that AI outputs are fit for any particular purpose or free of third-party rights.

8. Third-party services

The Service integrates with Figma, Google, Stripe, and AI providers. Use of those services is subject to their own terms. We are not responsible for their availability, pricing, or policies.

9. Intellectual property

Generato, its underlying code, branding, and documentation are the property of Eutin Warren. Paid access grants you a non-exclusive, non-transferable, revocable licence to use the Service during the subscription term. Nothing in these Terms transfers any intellectual property.

10. Privacy

Our handling of personal data is described in the Privacy Policy. By using the Service you acknowledge that policy.

11. Service availability

We aim for high availability but do not guarantee uninterrupted operation. Paid plans do not come with a formal SLA unless a separate agreement is in place (available for Team-tier customers on request).

12. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUTIN WARREN PVT. LTD. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID US DURING THAT PERIOD (OR USD 100 IF YOU ARE ON A FREE TIER).

14. Indemnification

You will defend and indemnify Eutin Warren Pvt. Ltd., its directors, officers, employees, and agents from and against any claim by a third party arising out of your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, for non-payment, or if we are required to do so by law. Provisions that by their nature should survive termination (e.g. IP, disclaimers, limitation of liability) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-law rules. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the competent courts in the city in which Eutin Warren Pvt. Ltd. maintains its registered office at the time of the dispute.

Nothing in these Terms limits any non-waivable consumer rights you may have under applicable Indian law, including the Consumer Protection Act, 2019.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email at least 30 days before they take effect. Continued use of the Service after an update constitutes acceptance of the revised Terms.
